northloopworks Review my offer, $99

For job seekers with an offer letter

Your offer letter is a contract. Read it like one.

You got the offer. Now comes the part most people skip: actually understanding it. CounterOffer is a $99 flat review of your offer letter and comp package, delivered by email in 24 hours: a plain-English breakdown of base, bonus, equity and benefits, the red flags we spot, and a negotiation script you can actually use.

Important: this is general information, not legal advice

We are not lawyers and we do not provide legal advice. An offer letter is a legal document. This review gives you general information and negotiation strategy in plain English so you can have a smarter conversation with the employer. Consult an employment attorney before you sign anything. This is the load-bearing wall of this service and we will not pretend otherwise.

What the $99 review covers

You send us your offer letter (and equity docs if any). A human reviews them and sends back a written report within 24 hours.

1. Line-by-line breakdown in plain English

Base salary, signing bonus, annual bonus target, equity (RSUs, options, or ESPP) with vesting schedule decoded, PTO policy, benefits, and any commission or incentive plan. Each piece translated out of HR-legalese into what it actually means for your money and your life.

2. Total comp math, year 1 and year 4

What the package is actually worth if you stay 1 year vs. 4 years, including how cliff and vesting schedules change the real number. Equity looks generous until you model the vesting. We model it so you see the true value before you sign.

3. Red flags and friction points

Non-competes and non-solicits, clawbacks on signing bonuses, at-will language with teeth, arbitration clauses, "other duties as assigned" pay structures, vague bonus language that pays nothing in practice. Flagged with what each one costs you in practical terms.

4. A negotiation script written for YOUR offer

Not a generic template. A word-for-word script built around your actual offer: what to ask for, what to trade, what to leave alone, and the order to ask in. Includes fallback asks for when they won't move on base (signing bonus, PTO, remote days, title, review timeline).

5. Comparison worksheet

If you're choosing between two offers, or between your offer and your current job, you get a side-by-side comparison sheet so the decision is math, not vibes. Send both letters, we map them to the same template.

Who this is for

  • Anyone holding a job offer who wants to understand it before signing
  • First-time offer recipients who have never seen an equity vesting schedule
  • Career switchers comparing two offers with different comp structures
  • People who suspect there is room to negotiate but don't know where

Who this is NOT for

  • Anyone who needs legal advice: we are not lawyers, get an employment attorney
  • Immigration or visa-sponsored offers with legal complexity, get a lawyer, this is not enough
  • Union or collective bargaining situations, different rules, this doesn't apply
  • Anyone looking for a guaranteed higher offer, there is no such thing

Sample: a redacted review excerpt

A shortened excerpt from a real-format review. Names, numbers, and company details are redacted.

TOTAL COMP, YEAR 1: $[XXX]
- Base: $[XXX] (paid biweekly)
- Signing bonus: $[XX] (paid first paycheck; clawback: repay 100%
if you leave before 12 months - see red flag #1)
- Annual bonus target: 10% of base. NOTE: discretionary language
means the "target" is not a floor. Last 3 years' actual payout
unknown. Do not budget for this.

TOTAL COMP, YEAR 4 (fully vested): $[XXX]
- RSUs: [N] shares, 4-year vest, 1-year cliff. At current price
that is ~$[XXX]/year vested after year 1. If the stock drops 30%,
  subtract $[XXX]/year. We modeled both.

RED FLAGS
1. Signing bonus clawback (12 months). If you leave early for any
reason, you owe it back. Negotiate to 6 months or waive.
2. Non-compete: 12 months, [STATE]. Enforceability varies by
state - an employment attorney can tell you in one call
   whether this one has teeth.
3. Bonus "target" language: no minimum payout stated.

NEGOTIATION SCRIPT (tailored)
"I'm excited about the role. On comp, I'd like to talk about three
things: base, the clawback term, and the review timeline..."
[Full script in the delivered report, with fallback asks ranked
by expected hit rate.]

The delivered report covers every line of your actual letter, not a template. Get the review for $99.

FAQ

Is this legal advice?

No. This is general information and negotiation strategy, not legal advice. We are not lawyers, and nothing in the review creates an attorney-client relationship. An offer letter is a contract: consult an employment attorney before you sign. We say this on every page and inside the review itself.

Will this get me more money?

We can't promise that. What we do is make sure you understand exactly what you're being offered and give you a real script for the negotiation. Many offers have more room than people think, but some don't, and we'll tell you straight when an offer is already fair.

How fast is delivery?

Within 24 hours of payment and receiving your offer documents. If you have a tight deadline, tell us in your order email and we prioritize. If we miss the 24-hour window, the review is free: full refund, no questions.

Is my offer letter confidential?

Yes. Your documents are used only to write your review. We don't share them, publish them, or use them in any public content. Delete requests honored immediately, and we don't retain copies after delivery unless you ask us to.

What if I have two offers?

Send both letters. You get the full review on each plus a side-by-side comparison worksheet mapping both offers to the same template, so the choice is math. Same $99 price.

Do you review contracts other than offer letters?

Offer letters and their attached equity/compensation documents are the whole product. We don't review severance agreements, freelance contracts, or anything else, and if your situation looks like it needs a lawyer (visa sponsorship, union rules, executive comp), we'll tell you so and refund the $99.
